Revised Bylaws On Annual Meeting Agenda

The Charter and Bylaws Committee of the North Carolina Bar Association has completed its proposed revisions to the NCBA Charter and Bylaws, which were approved unanimously by the Board of Governors at its spring meeting in Asheboro.

All that remains now to complete this enormous two-year undertaking is for the revised bylaws to receive formal approval from the NCBA membership at the NCBA Annual Meeting, scheduled June 25-28 at the Grove Park Inn Resort & Spa in Asheville.

Formal approval will come before the membership during the Saturday morning General Session on June 27.

As evidenced by the attachments below, the Charter and Bylaws Committee, chaired by Debra Foster of Charlotte, has taken its task to heart. To complete this process in the thorough and thoughtful manner in which it has been conducted up to now, committee members were intent upon sharing the proposed revisions with the entire membership prior to the Annual Meeting.

Thus, the following information is provided for review, beginning with a memorandum from the chair explaining the changes to the bylaws.

Additional attachments include:

an original version of the bylaws as they currently exist;

an amended and restated charter that is being proposed for approval by the membership;

a black-lined version showing changes that are reflected in the proposed revision; and

a clean version of the revised bylaws (i.e. changes accepted) that is being proposed for approval by the membership.

Serving with Foster on the Charter and Bylaws Committee for 2008-09 are Gill Beck of Greensboro, Dayton Cole of Boone, Phyllis Pickett of Raleigh, Ann Anderson of Pilot Mountain, Mike Wells of Winston-Salem and Sen. Fletcher Hartsell of Concord.

The NCBA is indebted to this hard-working group of volunteers for their concerted efforts throughout this arduous process.
