As a result of the Notice of Grounds for Administrative Dissolution that were sent out in March, we have received several thousand faxes and pieces of mail from businesses seeking to ensure their compliance with the law. Please be assured that the Department of the Secretary of State will not send Certificates of Dissolution until we have processed all of those tendered filings and/or correspondence to make sure that we do not administratively dissolve any entity seeking to come into compliance.
If you have sent in a fax, letter or e-mail, you may be wondering why you don't yet see the tendered filing/information on-line. This is due to the number of filings exceeding our capacity to put these images/information into our system in the usual turnaround time.
The bottom line message: Don't be anxious if the sixty (60) day period for correcting your filing status is up and you don't see your tendered information on the system. We are continuing to focus our work on entering all of the pending filings/correspondence into our system. The Department will not send Certificates of Dissolution until we have processed the filings/correspondence received here.
